INDUSTRY. IF YOU ACCEPT ALL OF THE TERMS CONTAINED IN THIS AGREEMENT, YOU SHOULD
INDICATE THIS BY SELECTING THE "I ACCEPT" BUTTON AT THE BOTTOM PF YOUR ONLINE
REGISTRATION.FORM. IF YOU DO NOT ACCEPT ALL THE TERMS AND CONDITIONS SET OUT BELOW,
PLEASE CANCEL YOUR ONLINE REGISTRATION.
1. THIS AGREEMENT IS FOR YOUR REQUEST TO BE CERTIFIED FOR WORK OPPORTUNITIES AND
TO EARN PAY UNDER THE LANTAWOOD MODEL CREATED AND MANAGED BY THE ASSOCIATION
OF SOUTHERN MOVIE WORKERS INC..
2. Association of Southern Movie Worksers Inc (ASMW Inc). hereby offers certification to film industry workers as a
Producer, Actor, Support Worker, Investor or Crew Worker and the film industry worker hereby accepts and agrees to such
certification..
3. Term of Certification
Certification is our organization's process of determining whether a person is able to competently complete a job or task, usually
by completing a set of guidelines. .Certification: is required for everyone. Certification remains in effect for the lifetime of the
person being certified. A Certificate of Certification is issued on Certification at a fee of $20.00
4 Trademarks
Our logos, trade and service marks, trade names, emblems and titles (collectively called "Trademarks"). You may use the
Trademarks only as approved by the Association of Southern Movie Workers Inc.
You agree that at Association of Southern Movie Worker's (ASMW Inc) request, to change or stop using any advertising or
promotional material that misuses, as ASMW Inc determines. When this Agreement ends, you agree to promptly stop using
ASMW Incs Trademarks. If you do not, you agree to pay any expenses and fees that ASMW Inc incurs in getting you to stop.
You agree that any goodwill attaching to ASMW Inc's Trademarks as a result of your use of them belongs to ASMW Inc.You
agree not to register or use any mark that is confusingly similar to any of ASMW Inc. trademarks.
5. Business Conduct
A. You agree to conduct your business in a way that does not adversely affect ASMW Inc's reputation or goodwill. ASMW
Inc may, at its sole discretion, determine whether your services or performances meet ASMW Inc's standards.
B. Subject to the supervision and pursuant to the orders, advice, and direction of ASMW Inc, Certified Producers, Talent,
Crew and Support Workers shall perform such duties as are customarily performed by one holding such Certification. in other
enterprises of the same or similar nature as that engaged in by ASMW Inc.
C. MANNER OF PERFORMANCE OF DUTIES:
You shall at all times faithfully, industriously, and to the best of his ability, experience and talent, perform all duties that may be
required of and from him pursuant to the express and implicit terms hereof, to the reasonable satisfaction of the organization.
Such duties shall be rendered at places as organization shall in good faith require or as the interests, needs, business, and
opportunities of organization shall require or make advisable.
D. MANNER OF PARTICIPATION IN PROJECTS
You shall show intent to participate in any of the organization's sponsored projects and shall be selected after an open audition
E. TALENTS AND AGENTS
All performing talent are required to have an agent who represents them within and outside our industry. Any performing talent
who does not select an agent during their Certification may be assigned an agent.
F. MANNER OF PARTICIPATION IN ASMW INC. ADMINISTRATION TEAM
Any Partner with current ASMW Certification status may apply for any vacant responsibilities within the Administration team of
ASMW Inc. These responsibilities are being developed as volunteer-turn-job positions.
G. VOLUNTEER TURN JOB POSITIONS
Various opportunities within the organization will be designated "Volunteer turn Job" For these opportunities, the intention of the
organization is to offer you an opportunity to initially volunteer for various roles which will be later converted to paying positions.
This does not constitute an offer for employment and hence You shall not qualify for unemployment benefits.
H. ASMW PARTNERSHIPS
A person with the ability to help launch new ventures or enterprises and accepts full responsibility for the outcome may be
considered for Partnership. An ASMW Partner must have proven leadership, management, and team-building abilities.
The term of Partnership shall be annually and renewable on the 1st day of the new year..
I. PARTNERSHIP BENEFITS AND EXTRAS
1. Film development assistance, sponsorship and financing.
2. Free training. in most aspects of the industry.
3. Partake in industry related productions and management opportunities.
4. Receive ASMW Inc sponsored exposure on radio, TV and other media.
5. Unlimited movie producing, acting and "behind the scene" opportunities.
6. Guaranteed distribution for your movie.
7. Paid feature film acting opportunities.
8. Assistance in developing your own film industry related business. .
9. Access to the Job Development Center facilities..
J. FEES
Certification is not required to be paid upfront. It is deducted froa an individual's earnings. .
No more than 50% of your income earned during any pay period shall be deducted as Certification fees. All Certification fees
collected are non refundable.
General Certification fee - $300.00 (required, but it is deducted from your pay)
ANNUAL PARTNERSHIP FEES (Partnership is not required, but offers huge benefits)
Actors - $300
Investors - $300
Producer - $250
Director/Crew -$200
Support Workers -$200
K. COMPENSATION, REIMBURSEMENT
Any compensation due shall be based on the Performance contract terms of the specific project. Our organization will
reimburse you for any and all necessary, customary, and usual expenses incurred by you while conducting the business for and
on behalf of the organization pursuant to organization's directions.
6. ASMW INC.'s Liability
ASMW Inc. IS NOT LIABLE FOR ANY DIRECT OR INDIRECT DAMAGES, INCLUDING WITHOUT
LIMITATION, LOST PROFITS, LOST SAVINGS, OR ANY INCIDENTAL, SPECIAL, OR OTHER ECONOMIC
CONSEQUENTIAL DAMAGES, EVEN IF ASMW Inc. IS INFORMED OF THEIR POSSIBILITY.
7. Your Liability
A. In addition to damages for which you are liable under law and the terms of this Agreement, you will indemnify us for claims
by others made against us (particularly regarding statements, representations, or warranties not authorized by us) arising out of
your conduct under this Agreement or as a result of your relations with anyone else.
B. NONDISCLOSURE OF INFORMATION CONCERNING ORGANIZATION
You will not at any time, in any fashion, form, or manner, either directly or indirectly divulge, disclose, or communicate to any
person, firm, or corporation in any manner whatsoever any information of any kind, nature, or description concerning any
matters affecting or relating to the business of organization, including, without limitation, the names of any its Certified
Producers, Talents or Crew or any information concerning the business of organization, its manner of operation, or its plans,
processes, or other date of any kind, nature, or description without regard to whether any or all of the foregoing matters would
be deemed confidential, material, or important. The parties hereby stipulate that, as between them, the foregoing matters are
important, material, and confidential, and gravely affect the effective and successful conduct of the business of organization, and
its good will, and that any breach of the terms of this section is a material breach of this agreement.
8. Agreement Modifications
In order to maintain flexibility in our relationship, ASMW Inc. may change this Agreement upon written notice to you. However,
these changes are not retroactive. They apply as of the effective date ASMW Inc. specifies in the notice.
9. General Provisions
Each of us agrees that:
1. Any terms of this Agreement, which by their nature extend beyond the date this Agreement ends, remain in effect until fulfilled
2. We will allow the other reasonable opportunity to comply before it claims that the other has not met its obligations.
3. Failure by either of us to insist on strict performance or to exercise a right when entitled, does not prevent either of us from
doing so at a later time, either in relation to that default or any subsequent one.
You agree:
1. That Certification does not ensure that you will qualify for any particular employment.
2. That your rights under this Agreement are not property rights and, therefore, you cannot transfer them to anyone else or
encumber them in any way.
3. Not to assign, or otherwise transfer, this Agreement or your rights or obligations under it this Agreement, without our prior
written consent. Any attempt to do so is void.
4. Not have the right to make any contracts or other commitments for or on behalf of organization without the written consent of
organization.
This Agreement is governed by the laws of the State of Georgia. This Agreement is the complete agreement between us
regarding your Certification and Partnership and replaces all prior oral and written agreements relating to your certification.
